The question a buyer asks first

Who owns civil engineering drawings once the client has paid?

Updated

Usually the practice that drew them; the client takes a licence. Two things change that: a signed assignment, and a federal contract's data clause.

Paying is not a transfer

17 U.S.C. 201 vests copyright initially in the author, and where engineers draw a scheme in the course of their work, the practice that employs them is treated as the author. 17 U.S.C. 204(a) adds that a transfer of copyright ownership is not valid unless it is in writing and signed by the owner of the rights conveyed. An invoice paid in full is not that writing.

Commissioned is not made for hire

The 17 U.S.C. 101 definition lets a specially ordered or commissioned work count as made for hire only in its listed categories, and only if the parties expressly agree in a written instrument signed by them. A road layout or a drainage design is not in that list, so a client cannot make itself the author by commissioning one.

What the UK forms and statute say

ACE Short Form Agreement, clause 5
Copyright in the drawings stays vested in the consultant; the client has a licence to copy and use them for the purposes they were provided for.
ACE Collateral Warranty Agreements
A beneficiary such as a funder or tenant gets a licence to use the drawings for completing the works and operating the project.
Section 215 of the 1988 Act
For a design created by an employee in the course of employment, the employer is the first owner of design right.

The exception that matters most

On a federal contract carrying FAR 52.227-14, data first produced in the performance of the contract comes with unlimited rights for the government, and data delivered without restrictive markings is treated the same way. Those drawings may still be the practice's copyright, but they are no longer confidential to it, and a buyer will price them accordingly. How a client licence works in practice is on the client's copyright licence.

Describe the practice's scheme archive

Most appointments leave the copyright with the engineer, and federal jobs are the main exception. Tell us how the archive was built and we will write back about your own schemes.

The design archive
  • A person reads each civil practice's enquiry and answers in writing
  • Nothing you send reaches a tool vendor or a buyer named here
  • Leave drawings, client names and scheme references out of the form
